PURCHASE AGREEMENT
To use the services provided by the TikSales platform (collectively, the “Services”), including but not limited to VIP services, cloud phone purchases, static proxy IP purchases, dynamic proxy IP purchases, physical-device testing purchases, and other value-added services, please carefully read, understand, and comply with this Purchase Agreement (the “Agreement”).

This Agreement is entered into by and between you and the TikSales platform (the “TikSales Platform”) and is legally binding. The TikSales Platform will highlight important terms in bold or by other reasonable means. Please pay particular attention to disclaimers that may materially affect your rights, limitations on user rights, and provisions concerning dispute resolution and jurisdiction. If you believe that any of these terms may adversely affect your rights in particular circumstances, please read them carefully again before accepting this Agreement or using the Services, and ensure that you accept them voluntarily.
If you do not agree to any term of this Agreement, especially a term that may materially affect your rights, do not take any action that constitutes acceptance of the Services (including, without limitation, clicking Agree, Accept, or Next; entering a purchase or renewal process; conducting any transaction or activity related to the Services; or providing any other form of confirmation, collectively, an “Acceptance Action”). By taking any Acceptance Action, you confirm that you have read, understood, and agreed to sign this Agreement, that you have established a contractual relationship with the TikSales Platform, and that you voluntarily accept and agree to comply with all terms of this Agreement.

The services provided by the TikSales Platform include, but are not limited to:
VIP services: premium membership benefits and exclusive services.
Cloud phone purchases: rental or purchase services for virtual mobile devices.
Static proxy IP purchases: proxy services using fixed IP addresses.
Dynamic proxy IP purchases: proxy services using dynamically changing IP addresses.
Physical-device testing purchases: testing services using real physical devices.
Other value-added services: including, without limitation, technical support and customized services.
This Agreement is the general purchase agreement for services provided by the TikSales Platform and applies to all of the services listed above. You must comply with this Agreement whenever you use any Service.
The formation, performance, and interpretation of this Agreement are governed by the laws of the Hong Kong Special Administrative Region. Any dispute arising from this Agreement shall first be resolved through friendly consultation. If consultation fails, either party may submit the dispute to a court of competent jurisdiction in the Hong Kong Special Administrative Region.
The TikSales Platform supports multiple payment methods, including, without limitation, credit cards, Alipay, and WeChat Pay. When purchasing Services, you shall select an appropriate payment method and complete payment using the applicable process.
Fees for each Service will be published on the official TikSales Platform website or the relevant Service page. The TikSales Platform may adjust its fees based on market conditions and operational needs. Adjusted fees will be announced in advance on the relevant pages.
Due to the nature of the Services, the TikSales Platform expressly states that, unless otherwise required by law or unless a purchased Service cannot be used for reasons attributable to the TikSales Platform, payments for any virtual goods, Services, memberships, or similar purchases are non-refundable once a top-up has been successfully completed. This is primarily due to factors such as payment-platform processing fees, cross-border financial reconciliation, tax processing, and fluctuations in international exchange rates. We recommend that you carefully consider your needs and confirm your intention to purchase before topping up. The TikSales Platform will use its best efforts to provide high-quality Services and products so that your top-up delivers the corresponding value.
You shall properly use and securely safeguard your TikSales Platform account and password. You are responsible for all losses arising from any disclosure, loss, theft, or other event not caused by the TikSales Platform’s lawful fault. If you discover that another person is impersonating you, unlawfully using your account or password, or engaging in any other unauthorized or insecure use, you shall promptly notify the TikSales Platform through an effective method and request suspension of the relevant Services. You understand that the TikSales Platform needs a reasonable period of time to process your request and will not be liable for losses caused by instructions carried out during that period.
When using any Service provided by the TikSales Platform, you must comply with applicable laws and regulations and must not use the Services for unlawful activities, including, without limitation:
(a) violating fundamental principles established by the constitution;
(b) endangering national unity, sovereignty, or territorial integrity;
(c) disclosing state secrets, endangering national security, or harming national honor or interests;
(d) inciting ethnic hatred or discrimination, undermining ethnic unity, or infringing ethnic customs;
(e) promoting cults or feudal superstition;
(f) spreading rumors, disrupting social order, or undermining social stability;
(g) promoting obscenity, pornography, gambling, or violence, or inciting crime;
(h) insulting or defaming others or infringing their lawful rights and interests;
(i) violating public morality; or
(j) engaging in any other content prohibited by laws, administrative regulations, or national rules.
Users shall bear all resulting legal liability and shall compensate the TikSales Platform for any loss caused as a result.
Unless otherwise provided in this Agreement, the Service term is the period you select and for which you successfully pay the applicable Service fees. It begins on the date you select and purchase the Service and ends when the Service expires or you terminate it. You may also contact customer service or check the relevant Service page for details.
The TikSales Platform may adjust, upgrade, or change Service content, functions, benefits, and similar features based on business-development needs and market conditions. These adjustments will be announced in advance on the relevant Service pages. Your continued use of a Service constitutes acceptance of those changes.
The TikSales Platform may suspend or terminate the Services provided to you if:
(a) you violate any term of this Agreement;
(b) you use the Services unlawfully;
(c) suspension or termination is required by law, regulation, or a government authority; or
(d) a force majeure event or similar circumstance prevents continued provision of the Services.
The TikSales Platform owns the intellectual property rights in the TikSales Platform. All information related to the platform is the intellectual property of the TikSales Platform, including, without limitation, textual expressions and their combinations, icons, graphics, charts, colors, interface designs, layout frameworks, related data, printed materials, and electronic documents. Without the TikSales Platform’s written consent and authorization, any unauthorized modification, distribution, rental, translation, disassembly, decompilation, or reverse engineering of all or any part of the platform constitutes infringement. The TikSales Platform reserves the right to pursue legal liability in accordance with law.
The TikSales Platform is not liable for any direct or indirect loss caused by Service interruptions, data loss, improper user operations, or similar circumstances. The TikSales Platform endeavors to ensure the security and stability of the Services but does not provide an absolute guarantee that the Services will operate without error.
Under this Agreement, notices from the TikSales Platform to users may be delivered through website announcements, in-platform messages, client push notifications, official-account notifications, email addresses provided by customers, text messages, ordinary mail, or other similar methods. A notice is deemed delivered to the user on the date it is sent.
NovaCloud Systems Limited may periodically revise documents published on the platform with titles such as “… Agreement,” “… Contract,” or “… Announcement.” Revised content forms part of the relevant agreement, contract, or announcement. NovaCloud Systems Limited will publish changes to this Agreement on this page or notify you through another method it considers appropriate, including by email or other notice. If you have any questions, comments, or suggestions regarding any terms, agreements, contracts, or announcements, you shall raise them within three days after publication. If you do not raise any question, comment, or suggestion during that period and continue to use the software or related products or Services, you agree to be bound by the revised agreement. Terms, agreements, contracts, and announcements automatically take effect on their publication date and apply retroactively to conduct occurring before their effective date.
This Agreement is executed at the location of the TikSales Platform.
If any provision of this Agreement is determined by a competent authority to be invalid, unlawful, or unenforceable, that provision shall be limited or eliminated to the minimum extent necessary so that the remaining provisions of this Agreement remain in full force and effect.
The TikSales Platform will not be liable for a failure to perform its obligations under this Agreement when the failure is caused by circumstances beyond its reasonable control, including, without limitation, acts of God, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, flood, accidents, strikes, or shortages of transportation facilities, fuel, energy, labor, or materials.
This Agreement is the final agreement between you and the TikSales Platform concerning its subject matter and supersedes all prior agreements, understandings, or negotiations between the parties regarding that subject matter, whether oral or written.
